Terms of service

The deal, in plain words.

You hold the licence and the relationships. We rent you the software the brokerage runs on. This is what each side is agreeing to when a brokerage is created on Noon.

1. Who's agreeing

These terms are between Noon ("we", "us") and the business named on an approved application ("you", "the brokerage"). By creating a brokerage on Noon, or by using one, you agree to them on that business's behalf.

You must be an Australian business that holds an Australian Financial Services Licence (AFSL) authorising general insurance broking, or be an authorised representative of a licensee that does. We may ask for evidence of that authority at any time.

2. What Noon is, and isn't

Noon is software. It runs a brokerage's quoting, binding, payment collection, documents, renewals, claims lodgement and reporting under the brokerage's own brand, on its own domain, on its own licence.

Noon is not a licensee, an authorised representative, a broker, an insurer or an underwriting agency. We give no financial product advice, general or personal, to anyone. Every quote, recommendation and document a customer sees on a brokerage's site is the brokerage's, made under the brokerage's authority.

3. Your licence obligations are yours

You are responsible for everything your licence makes you responsible for: the advice model your funnel operates under, your Financial Services Guide, your disclosure documents, your dispute resolution, your professional indemnity cover, and compliance with the Corporations Act, the Insurance Contracts Act and ASIC's requirements. Noon gives you tools that make some of this easier, such as a duty-of-disclosure notice at the right step and a Product Disclosure Statement pinned to the sale, and none of them transfer the obligation.

You will keep the licence details you give us current, and tell us within two business days if your authority is suspended, cancelled or materially changed. We may suspend quoting on a brokerage whose authority we cannot verify.

4. Accounts and staff

The person named on the application becomes the brokerage's first administrator. Administrators invite the rest of the team and choose their roles. Everyone chooses their own password; nobody at Noon or at the brokerage can see or set another person's. You are responsible for who you invite and what they do while signed in.

A person may hold an account at one brokerage only.

5. Fees

Your platform fee is a percentage of the premium you write through Noon, at the rate stated when your brokerage was created, calculated on net written premium for the month. On top of it you pay metered usage for the things that cost us money, such as address and vehicle lookups, SMS and AI, at the unit prices shown in the console under Billing. Prices are in Australian dollars and exclude GST. There is no fee for the sandbox and nothing is charged until you go live.

We issue a statement each month to your billing contact. It is due 14 days after issue. A brokerage more than 30 days overdue may be suspended from quoting until paid; a suspended brokerage's existing policies and customer panel keep working.

Our fee is never deducted from premium. It is calculated on the premium you wrote and invoiced to you separately, in arrears. No part of it is taken from money a customer pays for insurance, and no part of it is taken before that money reaches you.

6. Money

Premium a customer pays through a brokerage on Noon settles into the brokerage's own account: its own card facility, its own bank. Noon does not hold, touch or pass through insurance money, and is not a party to the contract of insurance or to the brokerage's obligations to insurers under its agency agreements. Trust-account obligations are yours.

7. Insurer agencies and credentials

To quote with an insurer you give Noon the credentials the insurer issued to you. We store them encrypted, use them only to do what you asked, which is to quote, bind and retrieve documents, and never for another brokerage. You warrant you are authorised to use each credential you give us and will tell us immediately if one is compromised. Insurer terms govern your relationship with each insurer; ours don't change them.

8. Your data, and our access to it

Your customers' data and your book are yours. Each brokerage's data is isolated from every other's at the database itself. Noon's staff can see your data where running or supporting the platform needs it, such as troubleshooting a quote, a payment or a document you have asked us about. That access is limited to named people and used for nothing else.

We use your data only to provide the service, to bill you for it, and as our privacy policy describes. We do not sell it, share it with insurers except as your quotes require, or use it to train models.

9. Acceptable use

You will use Noon lawfully and for the business it was approved for. You won't attempt to reach another brokerage's data, probe or overload the platform, resell access, or use it to send unsolicited marketing. You are responsible for content you publish on your brokerage's pages, including that it complies with the general-advice rules your licence imposes.

10. Availability and support

We aim for the platform to be available at all times and we monitor it continuously, but it is provided as is and we do not guarantee uninterrupted service. Planned maintenance is announced ahead. Support is by email and through the console in Melbourne business hours, with an on-call person for anything that stops customers quoting.

Where a quote depends on an insurer's own system, its availability is the insurer's, not ours.

11. Leaving, and what you take with you

Either side may end this agreement on 30 days' written notice. We may end it sooner if you breach these terms, if your licence is lost, or if fees are more than 60 days overdue.

When you leave, we export your whole book for you as one audited file: customers, quotes, policies, claims, document records and communications, with the documents themselves on request. We keep your data after the brokerage closes rather than deleting it on a timer: the ledger and the audit trail are financial records the law requires us to hold, and the rest stays with them so a customer's history can still be answered.

12. Liability

Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded. Otherwise, to the extent the law allows, our total liability to you in any 12-month period is limited to the platform fees you paid us in that period, and neither side is liable to the other for indirect or consequential loss, including loss of profit, business or goodwill.

You indemnify us for claims arising from advice you gave, documents you issued, or your breach of your licence obligations or of these terms.

13. Changes to these terms

We may change these terms by giving you at least 30 days' notice by email to your primary contact and in the console. If a change materially reduces what you get, you may end the agreement before it takes effect without penalty.

14. Law

These terms are governed by the law of Victoria, Australia. Each side submits to the jurisdiction of its courts.
